By engaging our services, submitting a quote request, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

4. Service Agreement and Quotations

4.1 Quotations

All quotations provided are:

  • Valid for 30 days from the date of issue unless otherwise specified
  • Subject to change based on actual shipment specifications
  • Exclusive of taxes unless explicitly stated otherwise
  • Based on information provided by the client and subject to verification

4.2 Service Acceptance

A service agreement is formed when:

  1. You accept our written quotation, or
  2. You provide shipment instructions, or
  3. We begin performance of services at your request

5. Client Responsibilities

5.1 Information Accuracy

You are responsible for providing accurate and complete information regarding:

  • Shipment contents, weight, and dimensions
  • Pickup and delivery addresses
  • Special handling requirements
  • Customs documentation and declarations
  • Value of goods for insurance purposes

5.2 Packaging and Preparation

You must ensure that all goods are:

  • Properly packaged for transportation
  • Clearly labeled with destination information
  • Accompanied by required documentation
  • Available for pickup at agreed times

5.3 Prohibited Items

You agree not to ship any items that are:

  • Illegal under Belgian, EU, or destination country laws
  • Dangerous, hazardous, or restricted materials (unless specifically arranged)
  • Perishable goods without proper arrangements
  • Items exceeding our capacity or capability limits

6. Pricing and Payment

6.1 Pricing

Our pricing is based on:

  • Distance and route
  • Weight and dimensions of shipment
  • Service type and urgency
  • Special handling requirements
  • Customs and administrative fees

6.2 Payment Terms

Unless otherwise agreed in writing:

  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges of 1% per month
  • We reserve the right to hold shipments for unpaid invoices
  • All payments must be made in Euros

7. Delivery and Performance

7.1 Delivery Times

Estimated delivery times are approximate and not guaranteed unless specifically stated in a written agreement. Delivery times may be affected by:

  • Weather conditions
  • Traffic and road conditions
  • Customs clearance delays
  • Force majeure events
  • Incomplete or incorrect documentation

7.2 Delivery Attempts

We will make reasonable attempts to deliver goods. If delivery cannot be completed due to recipient unavailability or refusal, additional charges may apply for re-delivery or storage.

8. Insurance and Liability

8.1 Liability Limitation

Our liability for loss or damage is limited to:

  • The declared value of goods (if declared and additional premium paid)
  • €8.33 per kilogram of gross weight for undeclared value shipments
  • The amount covered by our insurance policy

8.2 Excluded Damages

We are not liable for:

  • Indirect, consequential, or special damages
  • Loss of profits or business opportunities
  • Delays in delivery unless guaranteed in writing
  • Damage due to improper packaging
  • Loss or damage to prohibited items

8.3 Claims

Claims for loss or damage must be:

  • Reported within 7 days of delivery (or expected delivery)
  • Submitted in writing with supporting documentation
  • Filed within 1 year of the incident

9. Force Majeure

We are not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to:

  • Natural disasters, severe weather
  • Government actions, laws, or regulations
  • Labor strikes or disputes
  • War, terrorism, or civil unrest
  • Pandemics or health emergencies
  • Infrastructure failures

10. Customs and International Shipping

10.1 Customs Compliance

For international shipments:

  • You are responsible for providing accurate customs documentation
  • We will assist with customs clearance but cannot guarantee clearance times
  • Additional fees may apply for customs delays or issues
  • You are responsible for compliance with destination country regulations

10.2 Duties and Taxes

Unless otherwise agreed, duties, taxes, and customs fees are the responsibility of the consignee or shipper.

11. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws. By using our services, you consent to our collection and use of information as described in our Privacy Policy.

12. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of XSD Logistics and is protected by intellectual property laws. You may not use our content without written permission.

13. Termination

Either party may terminate ongoing service agreements with 30 days written notice. Termination does not affect obligations for services already performed or goods in transit.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by Belgian law and the Belgian courts have jurisdiction over any disputes.

14.2 Dispute Resolution

We encourage resolution of disputes through direct communication. If necessary, disputes will be resolved through the Belgian court system.

15. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and XSD Logistics regarding our services.
